Terms of Use
Innovative Aviation Private Limited (IAPL)
Effective Date: 4th March, 2026
Innovative Aviation Private Limited (herein referred to as IAPL, “Company”, we, our, or us). These Terms of Use (the Terms) regulate your access and use of our site, aviation technical services, distribution operations, maintenance coordination and such other business.
You confirm that by using the services of IAPL you accept these Terms. If you do not agree with these Terms, you are not allowed to use our services.
1. Company Overview
Innovative Aviation Private Limited (IAPL) is an aviation services company that offers technical and commercial solutions related to the aerospace industry including:
- Avionics Services
- Component Services
- Distribution Services
- Engine Services
Our services include those of aircraft operators, MRO organizations, leasing companies, aviation suppliers, and others.
2. Scope of Aviation Services
2.1 Avionics Services
IAPL offers avionics related services such as testing, repair coordination, upgrades, sourcing, integration services, and supply of avionics equipment and systems. Regulatory compliance and applicable certification standards apply to all avionics services.
2.2 Component Services
We provide aircraft parts services including repair management, overhaul coordination, exchange programs, sourcing, inspection support, and technical documentation. Manufacturability and regulatory requirements apply to serviceability.
2.3 Distribution Services
IAPL is involved in the distribution and provision of aviation parts, components, systems, tools and other related equipment. Supply is subject to product availability, supplier terms, export requirements and aviation compliance regulations.
2.4 Engine Services
Our engine services include sourcing, repair coordination, maintenance support, engine leasing facilitation, spare parts supply and technical advisory. Certification, final maintenance and airworthiness approvals remain the responsibility of authorized maintenance organizations and regulatory authorities.
3. Regulatory Compliance
The aviation sector is highly regulated. By using our services you acknowledge that:
- All services are subject to applicable aviation authority regulations.
- Export control laws and trade compliance regulations may apply.
- Final airworthiness approvals depend on certified maintenance organizations and regulatory bodies.
- Customers are responsible for ensuring compliance with DGCA, FAA, EASA or other applicable aviation authorities.
IAPL does not guarantee regulatory approvals unless explicitly stated in a signed written agreement.
4. Quotations and Commercial Terms
All quotations provided by IAPL:
- Are subject to availability at the time of order confirmation.
- May be time-limited.
- May change due to supplier pricing, exchange rate fluctuations or regulatory requirements.
- Do not constitute a binding agreement until formally accepted and confirmed in writing.
Other commercial terms including payment schedules, warranty terms, delivery schedules and inspection rights will be defined within individual purchase agreements or contracts.
5. Product Representation and Warranty
IAPL strives to provide accurate descriptions of parts, avionics equipment, engine components and other products. However:
- Specifications may change depending on manufacturer revisions.
- Images or representations on the website may be illustrative.
- Certification documentation must be verified upon delivery.
Where warranty is applicable, it will be provided in writing and is subject to the original manufacturer’s policies or contracted service agreements.
IAPL makes no implied warranties of merchantability or fitness for a specific purpose unless explicitly stated.
6. User and Client Responsibilities
Clients using IAPL services agree to:
- Provide accurate technical and operational information.
- Ensure installation and use by certified personnel.
- Verify aircraft type and configuration compatibility.
- Comply with all aviation safety and maintenance regulations.
- Make payments according to agreed commercial terms.
IAPL shall not be liable for damages arising from improper installation, misuse, unauthorized modifications, or failure to comply with aviation regulations.
7. Intellectual Property
All content including technical documents, service descriptions, website materials, branding, designs and other materials are the intellectual property of Innovative Aviation Private Limited (IAPL) or its licensors.
No material may be copied, distributed or commercially used without prior written authorization from IAPL.
Technical documentation provided during services may also be subject to licensing and usage restrictions.
8. Limitation of Liability
To the maximum extent permitted by law, IAPL shall not be liable for:
- Aircraft downtime
- Operational losses
- Loss of revenue
- Consequential or indirect damages
- Regulatory penalties
- Delays caused by suppliers, manufacturers, logistics providers or authorities
If liability occurs, it shall be limited to the value of the specific service or product giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless IAPL, its directors, employees, consultants and affiliates from claims, damages, liabilities or expenses arising from:
- Misuse of supplied components or services
- Violation of aviation safety regulations
- Breach of export control or trade compliance laws
- False or misleading information provided by you
10. Confidentiality
During business operations, both parties may exchange technical, commercial or proprietary information.
Unless covered by a separate Non-Disclosure Agreement (NDA):
- Confidential information must not be shared with unauthorized third parties.
- Disclosure may occur where required by law or regulatory authorities.
11. Termination of Services
IAPL reserves the right to:
- Refuse service
- Suspend ongoing engagements
- Cancel orders
These actions may occur in cases of non-payment, regulatory violations, fraud, misrepresentation or breach of these Terms.
Termination does not remove obligations that existed before termination.
12. Force Majeure
IAPL will not be liable for delays or failure to perform services due to circumstances beyond reasonable control including but not limited to:
- Regulatory actions
- Supply chain disruptions
- Government restrictions
- War, natural disasters or pandemics
- Transportation delays
13. Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Courts located in India shall have exclusive jurisdiction over disputes related to these Terms or services unless otherwise agreed in writing.
14. Amendments
IAPL reserves the right to revise these Terms at any time. Updated Terms will take effect upon publication on our website.
Continued use of our services after updates constitutes acceptance of the amended Terms.
